Terms of Service

1. Agreement to Terms

By accessing or using the Keryx platform, website, desktop application, command-line interface, and related services (collectively, the "Services"), operated by NetViper, a sole proprietorship organised under the laws of Greece, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with these terms, you are prohibited from using or accessing the Services.

2. Description of Services

Keryx is a high-performance file transfer platform that provides:

• Encrypted peer-to-peer and cloud-based file transfers
• Relay server infrastructure for accelerated transfers
• S3-compatible cloud storage integration
• Desktop GUI and command-line applications
• Machine learning-optimised transfer protocols
• Organisation and license management

3. Use License

Subject to these Terms, NetViper grants you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with your subscription tier. Under this license you may not:

• Modify, copy, or create derivative works based on the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove any copyright or proprietary notices from the software
• Sublicense, resell, or redistribute the Services to third parties
• Use the Services to transmit illegal, harmful, or infringing content

This license terminates automatically if you violate any of these restrictions and may be terminated by NetViper at any time.

4. Subscription Plans and Billing

Paid features of the Services are offered through subscription plans with defined bandwidth limits, device allowances, and features. By subscribing:

• You agree to pay the fees associated with your chosen plan
• Fees are billed monthly in advance and are non-refundable
• Bandwidth usage exceeding your plan limit may incur overage charges as specified on your plan
• NetViper reserves the right to modify pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

5. User Accounts and Conduct

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and license keys
• Notify NetViper immediately of any unauthorised use of your account
• Not share license keys or account access with unauthorised parties
• Not use the Services for any unlawful purpose or in violation of these Terms

NetViper reserves the right to terminate accounts, refuse service, or suspend licenses at our sole discretion without notice or liability.

6. Prohibited Activities

You agree not to engage in any of the following:

• Violating any applicable laws, regulations, or third-party rights
• Transmitting viruses, malware, or other harmful code via the Services
• Attempting to gain unauthorised access to other users' data or systems
• Using the Services for any automated scraping, data mining, or abuse
• Interfering with or disrupting the Services, relay servers, or network infrastructure
• Circumventing bandwidth limits, license restrictions, or security measures
• Using the Services to transfer illegal content or facilitate illegal activity

7. Intellectual Property

All content, trademarks, logos, software, and materials related to Keryx and NetViper are the property of NetViper or its licensors and are protected by international copyright and intellectual property laws. The open-source CLI component is licensed separately under its own terms.

8. Service Availability

NetViper reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice or liability. We do not guarantee that the Services will be available at all times or that they will be error-free. Scheduled maintenance windows will be communicated in advance where practicable.

9. Data and Privacy

Use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that:

• NetViper collects and processes data as described in the Privacy Policy
• Analytics data collection is required for security monitoring and service operation
• File transfer content is encrypted end-to-end and is not accessible to NetViper
• Bandwidth usage data is tracked for billing and service management purposes

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NetViper does not warrant that:

• The Services will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• Transfer speeds will meet specific benchmarks in all network conditions
• The results of using the Services will meet your requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NETVIPER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Loss or corruption of files during transfer
• Unauthorised access, use, or alteration of your transmissions or content

IN NO EVENT SHALL NETVIPER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID NETVIPER IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless NetViper and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any content you transmit through the Services

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Athens, Greece, and you hereby consent to personal jurisdiction and venue therein.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue legal remedies in accordance with Section 13.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Changes to Terms

NetViper reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised terms.

17. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
